Both parties shall maintain the confidentiality of all proprietary,
financial, or business information and shall not disclose such
information to third parties without prior written consent,
except as required by law.

The Provider shall implement reasonable safeguards to protect
the Client's financial data in compliance with applicable laws.

This Agreement is entered into between the Service Provider and
Client for the provision of professional accounting and financial
services.

The Provider shall perform the Services described above and the
Client shall compensate the Provider according to the agreed
compensation structure and payment terms.

The Provider operates as an independent contractor and nothing
contained in this Agreement shall create an employer-employee,
partnership, or joint venture relationship.

The parties agree that this Agreement shall be governed by the
applicable laws of the agreed jurisdiction.
